Important — What Payxmint Is

Payxmint is a payment technology and software service provider. Payxmint is not a bank, payment gateway, payment aggregator, acquiring bank, UPI application or settlement service provider.

Payxmint provides technology that may help businesses connect, integrate, manage and use supported third-party business/merchant accounts and payment-related technology.

Payments and settlements associated with a connected third-party business account are handled by the applicable bank, UPI/payment ecosystem participant, merchant account provider or other third-party service provider, as applicable.

Payxmint does not receive, hold, pool, safeguard or control merchant settlement funds merely by providing the Payxmint technology platform.

1.Acceptance of Terms

By accessing Payxmint, creating an account, purchasing/recharging platform credits, connecting a merchant/business account, using APIs, payment links, checkout technology, dashboards or any other Payxmint functionality, the user agrees to these Terms of Use and applicable Payxmint policies.

If a person is using Payxmint for a company, proprietorship, partnership or other organization, that person represents that they are authorized to accept these terms on behalf of that organization.

Users who do not agree must not use Payxmint.

2.About Payxmint

Payxmint is a payment technology platform.

Payxmint provides software and technology tools that may include:

  • UPI-oriented checkout technology
  • Payment links
  • QR-based payment technology
  • UPI intent/deep-link functionality
  • Redirect checkout functionality
  • Custom checkout
  • APIs
  • Webhooks and callbacks
  • Merchant dashboards
  • Transaction information and reporting tools
  • Staff-management functionality
  • Sub-admin functionality
  • Multiple merchant/business account management
  • Merchant/business account integration
  • Automation and reconciliation-related technology
  • Other software services introduced from time to time

Payxmint is a Technology Provider

Payxmint is not itself a payment gateway, bank, acquiring bank, payment aggregator or settlement provider.

Payxmint technology may interact with or facilitate access to third-party services, but this does not make Payxmint the provider of those third-party financial/payment services.

3.Eligibility & Merchant Responsibility

Users must:

  • Be legally capable of entering into a binding agreement.
  • Provide accurate and current information.
  • Operate a legitimate business.
  • Have all licences, registrations and approvals required for their business.
  • Use Payxmint only for lawful commercial purposes.
  • Ensure their products/services and collection activities comply with applicable law.
  • Maintain accurate customer, order and transaction records where legally required.

Payxmint may request additional information where reasonably necessary for security, compliance, fraud prevention, platform protection or support.

4.Payxmint Services

Payxmint provides technology and software infrastructure.

Features may differ according to:

  • User plan
  • Connected provider
  • Business category
  • Technical compatibility
  • Provider restrictions
  • API availability
  • Applicable law
  • Risk/security requirements

Payxmint may add, modify, replace, limit or discontinue functionality when reasonably necessary.

No feature should be interpreted as a guarantee that a payment will be authorized, processed or settled.

5.Third-Party Business Accounts

Third-Party Providers Are Independent

Payxmint may allow users to connect supported third-party merchant/business accounts, including services such as:

  • Google Pay Business
  • Paytm Business
  • Pine Labs
  • Other supported banks, merchant account providers or payment technology providers

These providers are independent third parties. Payxmint does not own or control their services.

The merchant’s use of a third-party account remains subject to the provider’s own:

  • Terms
  • KYC/KYB requirements
  • Policies
  • Transaction limits
  • Risk rules
  • Settlement rules
  • Pricing/charges
  • Technical availability
  • Account restrictions

Payxmint does not imply any partnership, endorsement or agency relationship merely because a third-party provider can be connected to Payxmint. Third-party names and trademarks belong to their respective owners.

6.Merchant Account Onboarding Assistance

Payxmint may help users understand, apply for, configure or connect merchant/business accounts offered by third-party providers. Payxmint may also coordinate with independent onboarding vendors/service providers where applicable.

However:

Payxmint does not guarantee approval of any merchant/business account. Final approval, rejection, KYC verification, account limits, activation, suspension or closure is controlled by the relevant third-party provider. Any estimated onboarding or activation timeline is indicative only.

7.Payments & Settlement

Payxmint Does Not Hold Merchant Settlements

Payxmint’s technology may facilitate a payment journey, but the underlying payment is processed through the applicable third-party payment/business account infrastructure.

Where the applicable arrangement provides for settlement directly to the merchant’s linked bank account, Payxmint does not take custody of that settlement merely by providing its technology.

Payxmint does not guarantee:

  • Settlement timing
  • Settlement frequency
  • Settlement amount
  • Provider availability
  • Bank processing time
  • Successful payment processing

Settlement is governed by the applicable third-party provider, bank and payment ecosystem rules.

If a merchant has an issue involving:

  • Missing settlement
  • Delayed settlement
  • Frozen funds
  • Bank hold
  • Lien
  • Settlement reversal
  • Provider reserve
  • Provider account suspension
  • Provider transaction restriction

the merchant must contact the relevant bank/business account/payment provider. Payxmint may provide reasonable technical assistance or available transaction references but cannot release, unblock or settle funds that Payxmint does not control.

8.Transaction Limits, Holds & Account Restrictions

Transaction limits and account limits may be determined by third-party providers, banks, UPI/payment ecosystem rules, the merchant’s category, KYC level, risk assessment and applicable regulations.

Payxmint does not control these limits.

A third-party provider may independently:

  • Reduce transaction limits
  • Request additional KYC
  • Delay/review transactions
  • Suspend an account
  • Freeze/restrict an account
  • Disable a VPA/QR
  • Reject transactions
  • Terminate services

Payxmint is not responsible for such third-party decisions.

9.Platform Fees, Credits & Recharge

Payxmint may charge technology/service fees according to the selected plan or commercial agreement. Users may recharge or purchase Payxmint platform/service credits for eligible Payxmint services.

IMPORTANT: Payxmint platform credits are service credits only. They are not a bank balance, stored-value account, merchant settlement or customer payment balance.

Platform Credits Are Non-Refundable

Once a credit recharge/purchase is successfully completed and credited to the Payxmint account, it is generally non-refundable, non-transferable and not redeemable for cash, except where a refund is mandatorily required by applicable law or where Payxmint expressly agrees otherwise.

Fees and applicable taxes may change. Where appropriate, updated pricing will be displayed or communicated.

10.Appointment-Based & Assisted Services

Certain Payxmint services may involve:

  • Manual onboarding assistance
  • Vendor coordination
  • Integration assistance
  • Technical setup
  • Account connection assistance
  • Training
  • Troubleshooting
  • Other human-assisted support

These services may be provided on an appointment, queue, business-hours or availability basis. Appointment times and estimated completion times are indicative and are not guaranteed service-completion deadlines unless Payxmint expressly agrees otherwise in writing.

Payxmint will make reasonable efforts to provide assistance but shall not be responsible for delays caused by:

  • High support volume
  • Vendor availability
  • Third-party verification
  • Provider downtime
  • Bank/provider processing
  • User’s failure to provide required information
  • Technical dependencies
  • Events outside Payxmint’s reasonable control

11.Merchant Integration & API Responsibilities

Users integrating Payxmint APIs, webhooks, callbacks, checkout or related technology are responsible for:

  • Keeping API keys and credentials secure.
  • Using production credentials only in secure environments.
  • Validating callbacks/webhooks appropriately.
  • Maintaining their own transaction/order records.
  • Implementing reasonable retry and reconciliation processes.
  • Testing their integration before production use.
  • Preventing unauthorized access.
  • Following Payxmint technical documentation.

Users must not attempt to:

  • Reverse engineer protected systems
  • Bypass security controls
  • Manipulate transaction status
  • Fabricate payment confirmations
  • Abuse APIs
  • Conduct excessive automated requests intended to damage or disrupt the platform

12.Prohibited & Unlawful Activities

Payxmint must not be used for any unlawful, fraudulent, deceptive, abusive or prohibited activity.

Prohibited Activities

Prohibited activities include, without limitation:

  • Fraud or scams
  • Money laundering
  • Terrorist financing
  • Illegal gambling or betting
  • Unauthorized gaming/wagering collections
  • Sale of prohibited drugs/narcotics
  • Weapons or other prohibited goods
  • Counterfeit goods
  • Stolen goods
  • Obscene or unlawful content/services
  • Ponzi/pyramid schemes
  • Unauthorized financial services
  • Fraudulent investment schemes
  • Phishing
  • Impersonation
  • Cybercrime
  • Transactions designed to conceal the true nature of a business
  • Transactions prohibited by applicable law, banking rules or the applicable provider
  • Using another person’s/business’s merchant account without authorization
  • Any attempt to evade provider transaction limits, KYC requirements or compliance controls

Payxmint may suspend or terminate access where it reasonably suspects prohibited activity, security abuse, fraud or legal/compliance risk. Payxmint may cooperate with lawful requests from competent authorities as required by applicable law.

13.KYC, Compliance & Verification

The merchant is responsible for providing truthful information to Payxmint and applicable third-party providers. Third-party providers may independently require KYC/KYB or additional verification.

Payxmint cannot guarantee successful verification. Providing forged, altered, misleading or unauthorized documents may result in immediate restriction or termination.

Users remain responsible for compliance with laws applicable to their own business.

14.Account Security

Users are responsible for:

  • Protecting login credentials
  • Protecting API keys
  • Protecting connected merchant accounts
  • Controlling staff access
  • Keeping registered devices/accounts secure
  • Immediately reporting suspected unauthorized access

Payxmint should never be liable for losses caused by the user’s sharing of passwords, OTPs, API credentials or unauthorized access resulting from the user’s own security failure, except to the extent liability cannot legally be excluded.

15.Service Availability

Payxmint will make commercially reasonable efforts to maintain platform availability. However, uninterrupted or error-free availability is not guaranteed.

Services may be affected by:

  • Maintenance
  • Software updates
  • Infrastructure failures
  • Internet/network failures
  • Bank downtime
  • UPI ecosystem issues
  • Third-party API changes
  • Provider downtime
  • Security incidents
  • Force majeure
  • Regulatory requirements

Payxmint may perform planned or emergency maintenance where required.

16.Third-Party Dependencies

Some Payxmint functionality depends on services, APIs, applications or infrastructure controlled by third parties.

Third parties may change:

  • APIs
  • Authentication
  • Security requirements
  • Terms
  • Pricing
  • Transaction limits
  • Technical functionality
  • Access permissions

without Payxmint’s control. Such changes may temporarily or permanently affect Payxmint functionality. Payxmint is not responsible for failures caused solely by systems outside Payxmint’s reasonable control.

17.Refunds, Chargebacks & Customer Disputes

Payxmint platform/service credit disputes are distinct from merchant-customer payment disputes.

For payments made by customers to a merchant, the merchant remains responsible for:

  • Products/services sold
  • Order fulfilment
  • Customer service
  • Merchant refunds
  • Commercial disputes
  • Applicable consumer-law obligations

Where a refund, reversal or chargeback requires action by a bank or third-party payment provider, that process is governed by the relevant provider. Payxmint may provide available technical information but does not guarantee the outcome of third-party disputes.

18.Taxes

Merchants are responsible for their own:

  • GST
  • Income tax
  • Invoicing
  • Accounting
  • Business taxes
  • Statutory filings
  • Other applicable tax obligations

Payxmint may charge GST or other applicable taxes on Payxmint’s own taxable services in accordance with applicable law. Payxmint does not provide tax or accounting advice unless expressly stated.

19.Suspension & Termination

Payxmint may restrict, suspend or terminate access where reasonably necessary because of:

  • Breach of these Terms
  • Suspected fraud
  • Unlawful activity
  • Security risk
  • Abuse of APIs/platform
  • False information
  • Non-payment of Payxmint fees
  • Legal/regulatory requirements
  • Material risk to Payxmint, other users or third parties

Where appropriate and legally permissible, Payxmint may request clarification or corrective action. Termination of Payxmint access does not itself release or transfer funds held by independent third-party providers.

20.Intellectual Property

Payxmint’s:

  • Software
  • Source code
  • User interface
  • Website
  • Documentation
  • APIs
  • Branding
  • Logos
  • Content
  • Proprietary technology

are owned by or licensed to Payxmint and protected by applicable intellectual-property laws. Users receive only a limited right to use the platform for authorized business purposes.

No source code, software or proprietary system may be copied, resold, reverse engineered or commercially exploited without authorization, except where applicable law expressly permits it.

21.Data & Privacy

Personal and business information is handled according to Payxmint’s Privacy Policy and applicable law.

The Privacy Policy will be linked from this page and the website footer when the approved policy is published.

Certain information may need to be transmitted to third-party providers when the user chooses to connect/use those services. Payxmint does not control how an independent third-party provider processes data after receiving it under that provider’s own terms/privacy policy.

22.Disclaimer of Warranties

Payxmint provides technology services on an “as available” basis, subject to applicable law.

Payxmint does not guarantee:

  • Continuous availability
  • Approval of merchant accounts
  • Successful transactions
  • Particular transaction volumes
  • Settlement timelines
  • Provider account limits
  • Business revenue
  • Compatibility with every third-party service
  • Continued availability of third-party integrations

Nothing on the website should be interpreted as financial, banking, legal, tax or investment advice.

23.Limitation of Liability

To the maximum extent permitted by applicable law, Payxmint should not be liable for indirect, incidental, special, consequential or business losses arising from:

  • Third-party provider failures
  • Bank/provider settlement delays
  • Provider account freezes/suspensions
  • Merchant’s unlawful activity
  • Merchant/customer disputes
  • Loss of profits/revenue
  • Third-party downtime
  • Unauthorized access caused by user negligence
  • External network/UPI/banking failures

Liability that cannot legally be excluded under Indian law is not excluded.

Aggregate liability shall be capped at the Payxmint service fees actually paid by the affected user during an appropriate preceding period. [SUBJECT TO FINAL LEGAL REVIEW]

24.Indemnification

The merchant shall indemnify Payxmint against third-party claims/losses resulting from:

  • Merchant’s unlawful business/activity
  • Merchant’s products/services
  • Fraud
  • Misrepresentation
  • Unauthorized merchant account use
  • Violation of third-party rights
  • Violation of these Terms
  • Violation of applicable law

This indemnity applies only to the extent permitted by applicable law and shall be interpreted reasonably in light of the circumstances giving rise to the third-party claim or loss.

25.Changes to Services and Terms

Payxmint may update these Terms to reflect:

  • New features
  • Legal/regulatory changes
  • Security requirements
  • Business changes
  • Third-party/provider changes

Material changes should be communicated where reasonably appropriate. Continued use after the effective date of revised Terms constitutes acceptance to the extent permitted by applicable law.

26.Communications

Users agree that Payxmint may send operational communications relating to:

  • Account activity
  • Security
  • Transactions
  • Service changes
  • Support
  • Billing
  • Compliance
  • Platform notifications

Marketing communications should remain subject to applicable consent/opt-out requirements.

27.Governing Law & Ahmedabad Jurisdiction

Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India.

Subject to any mandatory rights or forums that cannot lawfully be excluded, disputes arising from or relating to these Terms or Payxmint services shall be subject to the exclusive jurisdiction of the competent courts at Ahmedabad, Gujarat, India.
